1. What does the Novomatic transaction mean for Ainsworth Gaming Technology’s business in the Americas?

As everyone knows, in early 2018, Novomatic AG and Len Ainsworth closed the transaction resulting in the transfer and ownership of Mr. Ainsworth’s shares, representing 52% of the publicly available shares, to Novomatic AG. As a result of the transaction, Novomatic AG became a majority shareholder of Ainsworth and also gained a seat on Ainsworth’s Board of Directors. Ainsworth Game Technology will continue to run its global business as a stand-alone, public company. The companies enjoy an arm’s length, synergistic relationship in compliance with Australian Stock Exchange stipulations and limitations with regard to any potential additional share ownership and investment in the future. Additionally, as parts of the transaction arrangement, there will be additional collaboration, including an ongoing effort by both companies to identify cost side savings as they relate to common suppliers, Novomatic AG acting as the European distributor for Ainsworth product and the companies’ share of content and operating synergies between Greentube and Ainsworth Online businesses, among others. This arrangement benefits both companies.

2. You’ve just announced your plans for retirement and are stepping down in mid-2019. What does the future hold for Ainsworth’s CEO position?

Yes, I have announced that I am stepping down as CEO. But I am not retiring and will be with Ainsworth in a yet to be defined role and I will continue to serve on the Board. I’ve been in the CEO chair for 11 years and have seen tremendous growth and change to the company. We’ve brought Ainsworth to the Americas region in a meaningful way, opened a state-of-the-art Americas operational headquarters, expanded our Latin American businesses and continued to mature our product offerings and company and now is the right time. In fact, while this tends to be rare in the gaming industry, Ainsworth is actually engaging in proper succession planning. This announcement reflects our commitment to visibility for our shareholders and our reporting requirements as a public company. It’s also important to note that our Americas leadership team remains intact and focused on continued growth in the region to match our commitment to deliver shareholder value as a global gaming company. Most importantly, during the search for our new CEO, there will be no impact on the day-to-day operations of the company. This is the primary reason for this measured approach as we maintain consistency and stability as we look to fill my position.

3. Recently, Ainsworth completed the single largest installation of its historical horse racing solution in a partnership with Churchill Downs. What is your vision for the future of the historical horse racing segment?

Our partnership with Churchill Downs was to develop and deliver historical horse racing terminals and system for its entry into the historical horse racing market in Kentucky. Our initial shipment of 900 terminals was delivered to Churchill Downs’ brand-new Derby City Gaming facility in Louisville. This was a seminal project for our company, as we created this product in close collaboration with Churchill Downs and gave us a great chance to flex our development muscle. The project clearly demonstrates Ainsworth’s unique capability of being large enough to deliver on a project like Derby City, but nimble enough to react to our partners’ bespoke product needs. This is also a huge opportunity to leverage opportunities in the emerging historical horse racing market as jurisdictions potentially pursue these types of implementations.

4. What new markets do you see providing additional growth for Ainsworth?

Historical horse racing can certainly be one of those areas. We also believe that our Class II offerings can continue to be significant contributor for the company in the future. In the past year, we have entered several new Class II markets for the first time and are excited about growing that recurring revenue footprint. Late last year, we also entered the Washington State ESTS market where we are focused with new products and staff. We’re pursuing many opportunities in the Canadian market, as well. And without a doubt, we are always on the lookout for possible acquisitions and niche markets where we can use our strong balance sheet and financial stability to increase the bottom line.

Candi Lopez Will Interface with Las Vegas-based Suppliers

LAS VEGAS (September 27, 2018) – Gaming Laboratories International (GLI®) has again expanded its supplier client service team, naming Candi Lopez as a new Supplier Client Service Representative. She will be based in the company’s Las Vegas lab and will primarily serve Las Vegas-based suppliers.

Lopez has been with GLI for 12 years most recently serving as a Quality Assurance Supervisor, where she interfaced directly with GLI supplier clients of all sizes, supervised Quality Assurance staff, and helped to ensure the accuracy and timeliness of testing in GLI’s Las Vegas lab.

GAN performed in line with market expectations during the first half of 2018.

The outlook for the second half year period and full calendar year 2018 is contingent on (a) the market size, share and growth rate of Internet sports gambling in New Jersey; (b) the timing with which Pennsylvania's regulator the Pennsylvania Gaming Control Board ("PGCB") permits the launch of Internet real money gambling for residents of the State of Pennsylvania; and (c) the speed with which efficient marketing of the Overseas Internet Casino is conducted in European regulated markets by GAN.

By way of outlook on 2019, the recent launch of Internet sports betting, the Company's current sales pipeline and existing contracted clients are projected to propel GAN to record revenues, revenue growth, and EBITDA.

PASPA / Regulatory Developments

With respect to online sports betting in the US, GAN welcomed the repeal of the Professional and Amateur Sports Protection Act 1992 ("PASPA") by the US Supreme Court on May 14, 2018. GAN has subsequently integrated a leading B2B sports betting system into GAN's Platform and delivered Internet sports betting in New Jersey to its client PaddyPower Betfair plc ("PPB"), branded 'FanDuel', on September 1, 2018.

The reported success of the Internet sports betting market in the first operating month of August 2018 may result in an increase in the speed of regulation of intra-State Internet gambling going forwards. It is believed that additional US States are now considering the regulation of Internet gambling.

New Jersey Internet Gambling

Internet sports betting's growth since launch on September 1, 2018 has exceeded initial expectations in the first 17 day operating period. Continued growth is contingent on the speed with which our client PPB phases in marketing investment and the competitive dynamics within this emerging market.

GAN's second client in New Jersey, Ocean Resort Casino ("ORC") opened the land-based casino in Atlantic City on June 28, 2018 and the Internet casino delivered to ORC by GAN commenced operations of its desktop-only website on July 10, 2018. The secondary launch of mobile apps to enable end users to engage with ORC's Internet casino via their personal mobile devices has been delayed by the New Jersey Division of Gaming Enforcement ("DGE") technical certification division due to the demand for certification of new Internet sports betting systems.

Mobile apps are required to be downloaded by end users in order for their physical location to be accurately determined in compliance with New Jersey Internet gambling regulations. Mobile casino gaming represents the substantial majority of Internet casino gaming revenues in New Jersey. The mobile apps were approved by the DGE on September 4, 2018.

Pennsylvania Internet Gambling

Pennsylvania's real money Internet gambling market is now expected to commence in early 2019. This delay, due to a slower-than-expected issuance of regulations by the PGCB, impacts GAN's ability to recognise revenues derived from professional services fees already generated by GAN year-to-date and similar incremental professional service fees expected to be generated in H2 2018 as preparations to launch our client Parx Casino's Internet gambling operations continue.

Such fee-based revenues from the professional services rendered by GAN to its clients are recognised following the client's commercial launch of Internet gambling. Accordingly, revenue from professional services delivered to Parx Casino in 2018 will now be recognized in H1 2019.

This regulatory delay will also negatively impact GAN's H2 2018 Net Revenue from the revenue-sharing aspect of GAN's commercial relationship with Parx Casino, the market-leading casino property in Pennsylvania.

GAN has been a registered gaming services provider in Pennsylvania since 2014 and successfully submitted its Pennsylvanian Internet gambling software vendor license application to the PGCB on September 17, 2018.

Italian Internet Gaming

GAN notes the recent legislative ban on advertising of gambling in Italy which comes into effect in January 2019. GAN's clients in Italy are predominantly land-based operators of retail betting shops as well as Internet gambling. Following consultation with selected Italian clients and specialised gaming research firm Eilers & Krejcik Gaming LLC1, Italian Internet gambling operators supported by significant retail operations are not expected to be materially impacted by the ban on advertising and may benefit from reduced competition from Internet-only operators.

As previously announced2, the Company will launch its 9th Italian client GOLDBET in Q4 2018 which operates more than 1,000 land-based betting shops in Italy.

Overseas Internet Casino

Operational marketing of the Overseas Internet Casino in Europe commenced on September 12 2018. This followed an extended period in Q3 restructuring certain operational and financial arrangements to ensure an efficient deployment of the previously-reported $10m in user acquisition marketing provided to GAN by our client, the Chickasaw Nation, to develop their Internet gambling business in European regulated markets.

Simulated Gaming™

The acquisition of new US casinos as clients for GAN's US-facing Simulated Gaming business has been impacted by the increased allocation of internal technical engineering resources towards real money Internet gambling in H1 2018, which will continue to delay incremental client acquisition until the previously announced expansion of the Company's software engineering team in Sofia, Bulgaria has completed in H1 2019.

GAN's client of Simulated Gaming, the Mississippi Band of Choctaw Indians, was announced on April 30, 20183 and is now anticipated to launch Simulated Gaming in Q4 2018.

GLI provides training and technical support to help ensure a flawless opening of the new tribal sports book at the Pearl River Resort in Mississippi

LAS VEGAS, NV (September 11, 2018) – The Mississippi Band of Choctaw Indians made history on Thursday, August 31, 2018, at 10:00.m. CST as the new sports book at their Pearl River Resort became the first tribal sports book in the U.S. to open with a system that is fully certified as compliant with Gaming Laboratories International’s (GLI®) landmark GLI-33 Event-Wagering Technical Standard.

At the request of the Choctaw Gaming Commission, GLI assisted the Commission’s technical and auditing staffs with on-site support to verify the internal controls and installation configuration of IGT’s® “Margin-Maker™” event-wagering system to GLI-33 standards. This helped ensure a flawless go-live of the sports book’s system from the moment the first wager was placed.

Additionally, sports-wagering experts from GLI University® provided two and a half days of on-site classroom-style training on the various aspects of sports wagering, from a technical, regulatory, and operational perspective.

“The Choctaw Gaming Commission took a very pragmatic approach to sports wagering,” stated Mackenzie Haugh, GLI’s Director of Engineering. “They first ensured that their commissioners, auditors, and technical staff were familiar with the many aspects of sports wagering such as events and the various types of bets, trading platforms and live feeds, reporting and auditing, and change management to name a few. GLI dedicated a team of experts to developing GLI-33 as the industry’s first event-wagering technical standard, and that working group spent approximately a year formulating GLI-33. The need for the standard became apparent after GLI received numerous requests from U.S. state regulators, sports betting operators, sovereign tribal nations, lotteries, and industry suppliers around the world to establish a clear and cohesive technical standard for sports/event wagering systems. The desire was to establish a standard to help them regulate and/or implement legal wagering on sports and other events.

Upon the official release of GLI-33, the Mississippi Band of Choctaw Indians was one of several regulatory bodies to immediately adopt the new standard. Prior to the release of GLI-33, which is part of the GLI Standards Series, a draft standard had undergone extensive industry review and comment from gaming and lottery regulators, industry suppliers, industry operators and industry trade associations.
