TransAct Technologies Announces Preliminary Third Quarter 2020 Net Sales in Excess of Its Anticipated Range

Third Quarter 2020 Earnings Conference Call Scheduled for November 5th, 2020

HAMDEN, Conn.--(BUSINESS WIRE)--Oct. 6, 2020-- TransAct Technologies Incorporated (Nasdaq: TACT) (“TransAct” or the “Company”), a global leader in software-driven technology and printing solutions for high-growth markets, today announced preliminary financial results for the third quarter ended September 30, 2020 that exceeded the high end of the expected range for net sales provided on August 5, 2020.

TransAct now expects net sales for the third quarter of 2020 to be in the range of $7.1 million to $7.3 million, up from our prior expectation of $5.5 million to $6.0 million. Our updated net sales outlook includes approximately $1.4 million to $1.5 million of Food Service Technology (“FST”) recurring revenue, which was previously expected to be approximately $1.0 million. The Company estimates there were 3,800 paid BOHA! terminals in the market as of the end of the third quarter, with an average annual revenue per terminal of approximately $1,470, up 88% from $780 in the third quarter of 2019.

These financial results for the third quarter of 2020 are preliminary estimates and are subject to change in connection with the completion of the Company’s quarter-end closing process and the preparation of the unaudited financial statements as of and for the period ended September 30, 2020.

The complete system deployment will include the BOHA! Labeling SaaS-based app and TransAct Enterprise Management System (“TEMS”) alongside the BOHA! TransAct Technologies Announces the Launch of Epicentral® Clean2Play™ Sanitization Tracking System for Casinos and Their Gaming Floors

Epicentral Clean2Play builds on Acres 4.0’s Clean Machine product, which detects when each gaming machine’s play session ends and instantly dispatches a staff member to sanitize the game. Once sanitization is complete, Epicentral Clean2Play causes the gaming machine to print a Clean2Play certification ticket, which the casino cleaning staff member then places on the machine or directly over the machine’s bill acceptor. TransAct Technologies Receives Loan under Paycheck Protection Program

HAMDEN, Conn.--(BUSINESS WIRE)--May 5, 2020-- TransAct® Technologies Incorporated (Nasdaq: TACT) (“TransAct” or the “Company”), a global leader in software-driven technology and printing solutions for high-growth markets, today announced that the Company received a loan in the aggregate amount of $2,172,800 (the “Loan”) pursuant to Paycheck Protection Program (the “PPP”) administered by the Small Business Administration (the “SBA”) and established under Division A, Title I of the Coronavirus Aid, Relief and Economic Security Act (the “CARES Act”), which was enacted March 27, 2020. This funding is expected to help the Company maintain its operations and meet its payroll obligations in this time of unprecedented uncertainty related to the impact that the novel coronavirus (COVID-19) pandemic is having on the food service and casino industries.

The Loan, which is evidenced by a Note dated May 1, 2020 (the “Loan Date”) issued by the Company, matures on May 1, 2022 and bears interest at a fixed rate of 1.0% per annum, accruing from the Loan Date and payable monthly commencing on November 1, 2020.

“During these unprecedented times, we are taking proactive steps to plan for the future of TransAct’s customers, employees, and investors. The SBA PPP funding provides financial flexibility and enhances our liquidity position so that we can retain our employees, which allows us to keep important projects going and support ongoing operations at a time when the world is experiencing great volatility,” said Bart C. Under the terms of the PPP, the Loan may be forgiven to the extent that funds from the Loan are used for payroll costs and costs to continue group health care benefits, as well as for interest on mortgage obligations incurred before February 15, 2020, rent under lease agreements in effect before February 15, 2020, utilities for which service began before February 15, 2020, and interest on debt obligations incurred before February 15, 2020 (collectively, “qualifying expenses”), subject to conditions and limitations provided in the CARES Act. At least 75% of such forgiven amounts must be used for eligible payroll costs. The Company expects to maximize the use of Loan proceeds for qualifying expenses and intends to apply for forgiveness of the Loan in accordance with the terms of the CARES Act. Whether forgiveness will be granted and in what amount is subject to an application to, and approval by, the SBA and may also be subject to further requirements in any regulations and guidelines the U.S. Department of the Treasury or the SBA may adopt.

TransAct Technologies Secures New $10 Million Revolving Credit Facility

TransAct Secures First Expansion Agreement with a Large Canadian Fast Food Operator

The Digital Temperature Taking and Monitoring Solution digitizes a restaurant’s food safety process by ensuring their food is stored and served at proper temperatures. BOHA! Temp digitizes the food temperature taking process by providing a step-by-step method for taking and logging food temps, combined with a preloaded list of food items so workflow is efficient and easy to follow. The digital HACCP logs are stored in the cloud and can be accessed locally or corporate headquarters can review the temperature of food as it is produced and served. BOHA! Sense is a temperature sensing system that monitors the temperature and humidity inside refrigerators, freezers, and walk-in equipment, as well as dry storage areas. BOHA! Timer is an easy to use application to create timers for cooked, cooled and prepped food items as well as non-food items that require time tracking. BOHA! The expectation for the initial agreement based on the limited number of small labels per day was an annual recurring revenue per unit of approximately $275 per year. In addition, the initial hardware sales for the three additional apps is expected to be approximately $1,000 per store.

Pursuant to the expanded agreement, the domestic convenience store operator will deploy a second BOHA! Terminal along with the BOHA! Labeling SaaS-based app and TransAct Enterprise Management System (“TEMS”) at 220 of the 450 locations where these BOHA! solutions are already deployed. The expanded deployment will help TransAct’s customer manage a new food offering they plan to open inside certain existing locations.

Pursuant to this new three-year agreement, the deployment of an additional 220 BOHA! Terminal devices will occur over the next four months. The agreement also includes a commitment for the locations to use TransAct Labels specifically designed to work with the thermal printers featured in the BOHA! Terminal. TransAct believes the annual recurring average revenue per unit (“ARPU”) at these 220 locations will be approximately $1,500 per year. Proven Executive with More than 30 Years of Restaurant Industry Expertise Joins TransAct’s Board

The appointment of Ms. Olinger to TransAct’s Board of Directors increases the size of the Board to five members, four of whom are considered independent directors under Nasdaq rules.

Ms. Olinger served in senior management roles for more than twenty years at the McDonald’s Corporation, most recently as Global Chief Compliance and Privacy Officer from 2002 to 2015. During her time at McDonald’s, Haydee developed and deployed a broad-sweeping compliance and privacy program to better manage enterprise-wide financial, legal, human resource, and loss of reputation risks. Her initiatives have been rolled out globally, increasing policy adherence, achieving operational consistency, and bolstering financial results.

Haydee Olinger has expansive international experience having been responsible for leading teams consisting of finance, franchise, tax and operations personnel in the implementation of various strategies within many of McDonald’s markets in Europe, Asia and Latin America. Acknowledged as an effective business strategist and master negotiator with strong people skills, Haydee is also credited with playing an instrumental role in McDonald’s entry and ongoing growth throughout multiple Latin America markets.
