On December 23, 2022, Eileen F. Raney advised Everi Holdings Inc. (the "Company") that she will retire from the Board of Directors (the "Board") effective as of December 31, 2022.

Ms. Raney, who is currently the Chair of the Board's Nominating and Governance Committee and a member of the Board's Audit Committee and Compensation Committee, has been a member of the Board since February 2016.

As a member of the Board, Ms. Raney has helped guide the Company through organic growth, multiple acquisitions and expansion of the Company's Diversity, Equity and Inclusion and Environmental, Social and Governance initiatives.
