Sydney, 19 July 2023 - Aristocrat Leisure Limited (ASX: ALL) confirms that shareholders of NeoGames S.A. (“NeoGames”) have voted to adopt the Business Combination Agreement entered into with NeoGames on 15 May 2023 and to approve the statutory continuation of NeoGames from Luxembourg to the Cayman Islands (“Continuation”). This shareholder approval is the first of two shareholder approvals required to effect the proposed acquisition of NeoGames by Aristocrat.
The Continuation will be completed following satisfaction of certain conditions, including receipt of all required gaming, antitrust and foreign investment regulatory approvals. These approvals are progressing well, in line with Aristocrat’s expectations.
Completion of the proposed acquisition will occur by way of a merger of a wholly owned subsidiary of Aristocrat with NeoGames which will take place following the Continuation and the satisfaction of certain conditions, including approval by NeoGames shareholders holding at least 66.7% of the shares entitled to vote and present or represented at the second shareholder meeting.
Aristocrat and NeoGames are continuing to work together to progress the remaining steps required to complete the proposed acquisition, which Aristocrat continues to expect will occur during FY24.

Born in Kempsey, NSW Australia on July 11th 1923, Leonard Hastings Ainsworth possessed an insatiable curiosity and an unyielding determination to carve a path in the world. Originally commencing his working life manufacturing and supplying dental equipment, he envisaged and pursued the development of gaming equipment where his legacy in the gaming industry began.
In 1953, Mr Ainsworth founded Aristocrat Leisure Industries which became one of the world’s largest gaming companies. Following a 1984 diagnosis of prostate cancer, Mr Ainsworth transferred his ownership in Aristocrat to his family to ensure his legacy continued into the future. However, following a clear diagnosis thereafter, he knew he had more to offer the industry he fell in love with, so in 1995, he founded his second gaming company Ainsworth Game Technology. Mr Ainsworth dedicated his career to creating innovative, cutting-edge gaming solutions that would revolutionise the way people engage with slot machines and other gaming products.
On his 100th birthday Mr. Ainsworth would like to express his gratitude for the success he has enjoyed and the support he received from his family, friends, and many colleagues.
